Its a cool looking character. Very simple, which, in my opinion, is all well and good... Of course this would all depend on what you want to do with him.
If you'd like to animate I suggest you make his form slightly more defined. Especialy at the joints. He's looking a bit like a lego man.
Also, with such a simple model, complex textures will be a cake walk. I'd go all out and paint him up serious.
I can see you are going for a cartoony style, which is fine, but give him at least 3 fingers and a thumb. Or put mitten like nekode on him (if you are making a ninja and don't know what nekode are I'll laugh). Now that I look at your avatar I believe you inspiration might come from there.
If you are using max, think about using reactor to simulate his clothing. His simple geometry will make it less time consuming and you'll be able to achieve some really cool effects when the ninja is animated. If you are not using max, but your package offers cloth simulation, you should still consider it.
But from what you said he is still rough, so I'd say work on him some more. Then people will be able to give truly helpful criticism.

cool :P
thank heaps for your comment,
you definately brought up some valid points - im using maya 4.5
and im in the process of learning it so im trying to usae this project as a way to keep me motivated and leanring
so far ive only been using maya for about 3 months
i do wish to make hands and will be doing so soon
and im currently learning how to texture (set up uv mapping etc.. in maya) so hopefully it wont take me too long to figure out)
once ive done that i will definatrely b going for a full textured figure
was also thing of nekodes or mittens t mke him look not so bare
would also give him a bit more of an edge,
and yes he does look like a lego man (mainly in the unsmoothed version :P will be changin his joints around as well - i dont want to loose his height so i dont want to change how long his legs are so hopefully i can make those adjustment s said.
thanks again for thje great comments
much appreciated
will tryt to post update soon

as to the cloth simulation im using maya 4.5 and i could take me a while to figure that part out for now i think i might try to just use blendshape oce i figure it out it sounds a lot easier and less time consuming on my computer
but will eventualy trty it though

This is a great learning model. I honestly have yet to make a fully functional model (rig, texture, morph, ect). I'm thinking of doing a simple one soon. Good luck on everything.
